Agreement

THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY YOU REPRESENT ("YOU" OR "YOUR") AND ACCOUNTSUP ("ACCOUNTSUP", "WE", "US", "OUR") GOVERNING YOUR USE OF THE ACCOUNTSUP WEBSITE, CLIENT LOGIN PORTAL, AND ASSOCIATED ACCOUNTING, GST, INCOME TAX, BUSINESS REGISTRATION, AND BUSINESS ADVISORY SERVICES.

1. Parts of This Agreement

This Agreement consists of these general terms and conditions ("General Terms") and any terms specific to an individual service or engagement letter ("Engagement-Specific Terms"), such as a signed engagement letter, scope of work, or fee proposal for a particular assignment. In the event of a conflict between the General Terms and an Engagement-Specific Term, the Engagement-Specific Term shall prevail for that engagement.

2. Acceptance of the Agreement

You must be of legal age and have the authority to enter into a binding agreement (on your own behalf or on behalf of the entity you represent) to accept this Agreement. You accept this Agreement by checking a checkbox, signing an engagement letter, making a payment, or by using our website, portal, or services.

3. Description of Service

AccountsUp provides accounting, GST compliance, income tax filing, business registration/incorporation, and business advisory services, delivered through our website www.accountsup.in, our client login portal, and direct engagement with our team. You are responsible for having internet access and suitable equipment to use our portal, and for the accuracy of the information and documents you provide to us.

4. Free Consultations / Trial Access

If we offer a free initial consultation or limited trial access to the portal, such access is provided on an as-is basis without warranty, and may be discontinued at our discretion at any time. No obligation to purchase a paid engagement arises from use of a free consultation or trial access.

5. User Sign-Up and Client Obligations

To access the client portal or engage our services, you must provide accurate, current, and complete information, including your name/entity name, contact details, PAN/GSTIN, and any other details necessary for your engagement. You agree to:

  • Provide true, accurate, and complete information and documents needed to perform the engagement;
  • Promptly inform us of any changes to such information;
  • Review filings, computations, and drafts we share with you and respond within agreed timelines, since delays in your response may delay statutory deadlines.

If you provide false, inaccurate, or incomplete information, we may suspend or terminate the engagement and are not responsible for any resulting penalty, notice, or loss.

6. Restrictions on Use

You shall not:

  • Share your portal login credentials with unauthorized persons, or allow your account to be used by more than one individual without our knowledge;
  • Attempt to access another client's account, documents, or data without authorization;
  • Attempt to disassemble, reverse-engineer, or interfere with the portal or its underlying systems;
  • Use the portal or our services to transmit viruses, malware, or harmful code;
  • Use our services for any unlawful purpose, including tax evasion, money laundering, or filing false statutory returns;
  • Misrepresent your identity or the ownership/authority you have over the business or documents you submit to us;
  • Use our name, logo, or brand to solicit clients or payments without our written authorization (see our Trademark Usage Guidelines);
  • Use the services in any manner that threatens the security, sovereignty, or public order of India, or that is otherwise prohibited under Indian law.

7. Nature of Professional Services and Client Responsibility

Our accounting, tax, GST, and advisory services are based on the information, documents, and instructions you provide. We shall not be liable for errors, penalties, interest, or notices arising from incomplete, inaccurate, or delayed information or documents supplied by you.

Statutory filings are made based on applicable law as understood at the time of filing; where laws, rules, or their interpretation change (including retrospectively), we will inform you of the impact where reasonably possible, but are not liable for changes in law outside our control.

8. Fees and Payments

Our services are offered under (a) subscription plans (monthly/annual, for ongoing accounting/compliance retainers) and (b) as-and-when (pay-per-service) engagements, billed per assignment.

  • Subscription fees are billed in advance and renew automatically unless you cancel at least 7 days before the renewal date, in line with our Refund Policy.
  • As-and-when engagement fees are payable as specified in your fee proposal/engagement letter — typically an advance before work begins, with the balance on completion or delivery.
  • We do not store your card or payment credentials on our website; all online payments are processed through a secure, PCI-DSS-compliant third-party payment gateway.
  • Applicable taxes, including GST, will be charged in addition to our professional fees, and a valid tax invoice will be provided.
  • Government fees, statutory duties, and third-party charges (e.g., ROC fees, stamp duty, challans) paid on your behalf are separate from our professional fees and are payable by you regardless of the outcome of the engagement.
  • Refunds, where applicable, are governed by our Refund Policy.

9. Personal Information and Privacy

Personal and financial information you provide to us is governed by our Privacy Policy. You are responsible for maintaining the confidentiality of your portal login credentials and for all activity under your account. Notify us immediately at info@accountsup.in if you suspect unauthorized access to your account.

10. Confidentiality

We treat all client documents and information as confidential and will not disclose them to third parties except: (a) as necessary to perform your engagement (e.g., filing with government portals), (b) with your consent, (c) to our staff/associates bound by confidentiality obligations, or (d) as required by law or a competent authority.

11. Communications from AccountsUp

We may send you service-related communications, including engagement updates, compliance deadline reminders, invoices, and administrative notices. You may opt out of promotional/newsletter communications, but you will continue to receive essential service and compliance-related communications necessary for your engagement.

12. Complaints and Grievance Redressal

13. Data Ownership

You own the content, documents, and data you provide to us or create through the portal. We do not use your data for any purpose other than performing your engagement, internal record-keeping as required by law, and improving our services, unless you give explicit consent otherwise. 14. Trademark

"AccountsUp" and our logo are trademarks/brand assets of AccountsUp. You agree not to display or use our name, logo, or brand assets without our prior written permission, in accordance with our Trademark Usage Guidelines.

15. Disclaimer of Warranties

OUR WEBSITE AND PORTAL ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WHILE WE TAKE PROFESSIONAL CARE IN DELIVERING OUR SERVICES, WE DO NOT WARRANT THAT THE WEBSITE OR PORTAL WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE. NO ADVICE OR INFORMATION OBTAINED FROM US, WHETHER WRITTEN OR ORAL, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN A SIGNED ENGAGEMENT LETTER OR THIS AGREEMENT.

16. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, ACCOUNTSUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSS OR DAMAGE, INCLUDING LOSS OF BUSINESS PROFITS, ARISING FROM YOUR USE OF OUR WEBSITE, PORTAL, OR SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY ENGAGEMENT SHALL NOT EXCEED THE PROFESSIONAL FEES PAID BY YOU FOR THAT SPECIFIC ENGAGEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Indemnification

You agree to indemnify and hold harmless AccountsUp, its partners, employees, and associates from any losses, damages, fines, or expenses (including legal costs) arising from your breach of this Agreement, your violation of any law, or your provision of false or misleading information or documents to us.

18. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India, and any dispute shall be subject to the exclusive jurisdiction of the courts of Delhi.

19. Suspension and Termination

We may suspend or terminate your access to the portal or an ongoing engagement if we reasonably believe you have violated this Agreement, provided false information, or engaged in unlawful activity. You may terminate an engagement as per the terms of your engagement letter or fee proposal; fees for work already performed up to the date of termination will remain payable, subject to our Refund Policy.

20. Modification of Terms

We may update this Agreement from time to time by posting the revised version on our website or notifying you by email. If changes materially affect your rights, we will provide at least 30 days' notice where reasonably possible. Continued use of our website, portal, or services after the effective date of any change constitutes acceptance of the modified Agreement.
